1. Our Services

OrbiON Digital provides digital marketing and website services, including:

  • Digital Marketing
  • Search Engine Optimization (SEO);
  • Generative Engine Optimization (GEO) and AI Optimization;
  • Google Ads and PPC management;
  • Facebook and Instagram advertising;
  • Social Media Marketing (SMM);
  • content creation and content strategy;
  • website design and development;
  • website audits;
  • analytics, reporting, and digital marketing consulting.

The exact scope of each project depends on the selected package, written proposal, service agreement, invoice, or other written confirmation between OrbiON Digital and the client.

We may update, change, suspend, or discontinue any service at any time.

2. Website Use

You may use this website only for lawful purposes. You agree not to:

  • use the website in violation of Canadian or applicable local laws;
  • copy, reproduce, modify, or redistribute website content without permission;
  • attempt to gain unauthorized access to the website or its systems;
  • introduce viruses, malware, or other harmful material;
  • interfere with the website’s security, availability, or operation;
  • use information from the website to misrepresent your relationship with OrbiON Digital.

We may restrict or terminate access to the website if we believe these Terms have been violated.

3. Client Engagements

Before work begins, the client may be required to approve a proposal, statement of work, service agreement, invoice, or written confirmation.

The client agrees to provide accurate and complete information needed to perform the services. This may include:

  • business information;
  • brand guidelines;
  • website access;
  • advertising account access;
  • social media access;
  • analytics and tracking access;
  • images, logos, text, and other materials;
  • timely feedback and approvals.

Delays in providing information, access, materials, or approvals may affect project timelines and results. OrbiON Digital is not responsible for delays caused by the client or by third-party platforms.

4. Fees and Payment

Fees are based on the selected package, proposal, invoice, or service agreement.

Unless otherwise agreed in writing:

  • fees are payable according to the payment schedule stated on the invoice;
  • monthly services are billed monthly;
  • project work may require an upfront deposit;
  • third-party costs are separate from OrbiON Digital’s service fees;
  • applicable taxes may be added where required by law.

Third-party costs may include:

  • Google Ads media spend;
  • Facebook and Instagram advertising budgets;
  • domain registration;
  • website hosting;
  • premium software;
  • stock images, plugins, themes, or applications;
  • email marketing platforms;
  • other external tools or services.

Advertising budgets paid to Google, Facebook, Instagram, or another platform are not included in management fees unless expressly stated in writing.

If payment is overdue, OrbiON Digital may pause work, suspend campaigns, restrict access to deliverables, or terminate the service.

5. Advertising Services

For PPC, Google Ads, Facebook Ads, Instagram Ads, and other advertising services, the client understands that:

  • advertising platforms control approval, delivery, placement, and policy enforcement;
  • campaigns may be rejected, limited, paused, or suspended by the platform;
  • advertising costs are paid to the relevant advertising platform;
  • clicks, impressions, leads, and sales cannot be guaranteed;
  • campaign performance may change because of competition, seasonality, market conditions, platform updates, audience behaviour, or changes in advertising policies;
  • campaigns may require a learning and optimization period;
  • OrbiON Digital does not control the actions or policies of Google, Meta, Facebook, Instagram, or other third-party platforms.

The client remains responsible for the accuracy, legality, and substantiation of claims made in advertisements, offers, promotions, and business materials supplied to OrbiON Digital.

6. SEO, GEO, and AI Optimization

SEO, GEO, and AI Optimization services may include technical recommendations, content optimization, keyword research, local search improvements, website structure, authority development, and optimization for AI-powered search systems.

The client understands that:

  • search rankings are controlled by third-party search engines;
  • algorithms and ranking factors may change without notice;
  • rankings, traffic, mentions, citations, leads, or sales cannot be guaranteed;
  • SEO and GEO results may take time to develop;
  • competitors, technical issues, website changes, market conditions, and search engine updates may affect performance;
  • recommendations may require implementation by the client or another developer.

OrbiON Digital may provide strategies and recommendations based on available information, but cannot guarantee how Google, ChatGPT, Google AI Overviews, or another platform will display, rank, summarize, or reference business information.

7. Social Media Marketing

SMM services may include social media strategy, content planning, captions, graphic content, Reels, Stories, publishing, profile optimization, community engagement, and reporting.

The client is responsible for:

  • approving content within a reasonable timeframe;
  • confirming that business information, offers, prices, and claims are accurate;
  • obtaining permission to use client-provided images, videos, testimonials, logos, and other materials;
  • ensuring that promotions comply with applicable laws and platform policies.

Social media reach, engagement, followers, comments, shares, leads, and sales cannot be guaranteed. Platforms may change their algorithms, features, policies, or access requirements at any time.

8. Website Design and Development

For website projects, the scope of work, number of pages, features, revisions, integrations, and delivery schedule will be defined in the applicable proposal or agreement.

Unless otherwise agreed:

  • the client is responsible for reviewing and approving website content;
  • the client must provide accurate business information and required materials;
  • additional work outside the agreed scope may be billed separately;
  • third-party software, plugins, hosting, and integrations may have separate fees and terms;
  • website performance may depend on hosting, plugins, browsers, devices, and third-party services.

The client is responsible for ensuring that its business practices, website content, privacy notices, terms, promotions, and customer communications comply with applicable laws.

9. Free Website Audit

A Free Website Audit is provided for general informational and marketing purposes. It may identify potential issues related to website performance, SEO, usability, content, technical structure, or conversions.

The audit:

  • is not a complete technical, legal, security, or accessibility review;
  • may be based on limited publicly available information;
  • may not identify every issue affecting a website;
  • does not guarantee specific improvements or business results;
  • should not be treated as professional legal, financial, or security advice.

10. Client Content and Intellectual Property

The client retains ownership of materials supplied to OrbiON Digital, including logos, images, videos, text, trademarks, and other brand assets.

The client grants OrbiON Digital permission to use those materials only as necessary to provide the agreed services.

Unless otherwise agreed in writing, original final deliverables created specifically for the client become available for the client’s use after all outstanding invoices have been paid. OrbiON Digital retains ownership of its:

  • internal processes;
  • strategies and methodologies;
  • templates;
  • systems;
  • know-how;
  • code libraries;
  • pre-existing materials;
  • reusable design or content elements.

OrbiON Digital may display completed work in its portfolio or marketing materials unless the client requests confidentiality in writing.

11. Third-Party Services

Our services may rely on third-party platforms, including Google, Meta, Facebook, Instagram, hosting providers, analytics tools, email platforms, plugins, and software applications.

OrbiON Digital does not control third-party services and is not responsible for:

  • outages;
  • account suspensions;
  • policy changes;
  • data loss;
  • security incidents;
  • technical limitations;
  • changes to pricing or functionality;
  • loss of access;
  • third-party performance.

Third-party services may be subject to their own terms and privacy policies.

12. Disclaimer

OrbiON Digital provides digital marketing and website services using professional strategies and reasonable efforts. However, no specific result is guaranteed.

We do not guarantee:

  • specific Google rankings;
  • search engine or AI platform visibility;
  • a specific number of clicks, leads, calls, or sales;
  • specific revenue or return on investment;
  • approval or continued delivery of advertisements;
  • a specific number of followers, impressions, or engagements;
  • uninterrupted website or platform availability;
  • that every recommendation will produce a particular result.

Results may vary depending on the client’s industry, competition, budget, offer, website quality, sales process, market conditions, customer behaviour, and third-party platform changes.

A marketing campaign may require an initial testing and learning period. A campaign may not be profitable during its early stages while data is collected and adjustments are made. The client acknowledges that advertising spend and service fees are investments and are not guaranteed to produce a specific financial return.

13. Limitation of Liability

To the maximum extent permitted by applicable law, OrbiON Digital will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunities, data, goodwill, or expected savings.

To the maximum extent permitted by law, OrbiON Digital’s total liability arising from a service will not exceed the amount paid by the client to OrbiON Digital for that specific service during the three months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

14. Indemnification

The client agrees to indemnify and hold harmless OrbiON Digital, its contractors, and representatives from claims, losses, damages, liabilities, costs, and expenses arising from:

  • client-provided content or materials;
  • inaccurate or misleading information supplied by the client;
  • the client’s products, services, offers, or business practices;
  • violation of third-party rights;
  • violation of applicable laws or platform policies;
  • unauthorized use of materials provided by the client.

15. Cancellation and Termination

Either party may terminate an ongoing service according to the cancellation terms stated in the applicable proposal or agreement.

If no cancellation period is specified, the client should provide at least 30 days’ written notice for recurring monthly services.

Upon termination:

  • outstanding amounts remain payable;
  • approved work completed before termination must be paid for;
  • advertising campaigns may be paused;
  • access to third-party accounts may be removed;
  • refunds are subject to the applicable agreement and work already performed.

OrbiON Digital may terminate or suspend services immediately if the client fails to pay, provides unlawful instructions, violates these Terms, or creates a security, legal, or reputational risk.

16. Confidentiality

Each party agrees to keep confidential non-public business, technical, financial, and strategic information received from the other party.

This obligation does not apply to information that:

  • is publicly available;
  • was already lawfully known;
  • is received from another lawful source;
  • must be disclosed by law.

17. Privacy

Information collected through this website or in connection with our services is handled according to our Privacy Policy.

Our Privacy Policy explains how we collect, use, store, and protect personal information. These Terms should be read together with the Privacy Policy.

18. Changes to These Terms
